Effective Date: August 14, 2026 — Platform: Cántico — Provider: Yanoma LLC. This Cántico Onboarding & Platform Agreement is a legally binding agreement between Yanoma LLC ("Yanoma," "Cántico," "we," "us," or "our") and the individual or organization creating, administering, or using a Cántico account ("you," "your," "User," or "Organization").

By clicking “I Agree,” “Accept & Continue,” “Create Account,” or a similar acceptance mechanism, or by accessing or using Cántico after being presented with this Agreement, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.

If you are creating an account on behalf of a parish, church, diocese, ministry, choir, school, nonprofit organization, ensemble, or other entity, you represent that you have authority to accept this Agreement on behalf of that organization.

If you do not agree to these terms, you may not create or use a Cántico account.

1. About Cántico

Cántico is a software platform created and operated by Yanoma LLC to help choirs, music ministries, directors, cantors, musicians, volunteers, parishes, churches, schools, and related organizations organize and prepare music and coordinate their communities.

Depending on the features available under a User's plan, Cántico may provide tools for:

• choir and group management;
• member organization;
• event and rehearsal scheduling;
• invitations and RSVP management;
• repertoire organization;
• sheet music and document management;
• practice tracking;
• vocal and musical preparation;
• audio playback and practice tools;
• communications;
• music transcription and optical music recognition;
• repertoire and formation recommendations;
• presentation tools;
• analytics;
• artificial-intelligence-assisted functions; and
• other related services introduced by Cántico.

Features may be added, modified, improved, replaced, or discontinued as the Platform evolves.

2. AI-Assisted Development Disclosure

Cántico has been developed using a combination of human design, human engineering, traditional software-development methods, automated systems, and artificial-intelligence-assisted development tools.

Artificial intelligence may have been used to assist Yanoma LLC personnel with activities including, but not limited to:

• software development;
• code generation and review;
• debugging;
• testing;
• documentation;
• product research;
• interface development;
• data processing;
• design exploration;
• quality assurance;
• content preparation; and
• product optimization.

The use of artificial intelligence as a development tool does not change the identity of the provider of the Platform.

Your contractual relationship is solely with Yanoma LLC.

No artificial-intelligence provider, model developer, automated agent, software-development tool, or other AI system used during the development of Cántico becomes a party to this Agreement solely because such technology contributed to the development or operation of the Platform.

Yanoma LLC remains responsible for operating Cántico subject to this Agreement.

3. AI-Powered Features

Certain Cántico features may use artificial intelligence, machine learning, automated analysis, optical recognition, recommendation systems, language models, audio-processing systems, music-analysis systems, or similar technologies.

These features may assist with tasks such as:

• analyzing music;
• recognizing musical notation;
• transcribing musical material;
• analyzing recordings;
• generating practice materials;
• organizing repertoire;
• recommending content;
• interpreting uploaded information;
• searching or categorizing music;
• generating summaries or text;
• assisting directors and musicians; or
• automating administrative tasks.

3.1 AI Outputs May Be Incorrect

Artificial-intelligence systems are probabilistic and may produce incomplete, inaccurate, misleading, duplicated, or otherwise incorrect results.

You are responsible for reviewing AI-generated or AI-assisted output before relying upon it.

Cántico does not guarantee that:

• a transcription is musically accurate;
• recognized notation perfectly matches an original score;
• an audio analysis is correct;
• a recommendation is appropriate;
• generated information is complete;
• generated content is unique; or
• AI-generated material is free from third-party intellectual-property rights.

AI features are intended to assist human musicians, directors, administrators, and organizations, not replace their judgment.

4. Your Organization and Account

When creating a Cántico account, you agree to provide accurate information and keep that information reasonably current.

Organization administrators are responsible for:

• maintaining control of administrator accounts;
• deciding who may join their Organization;
• assigning appropriate permissions;
• removing users who should no longer have access;
• maintaining accurate member information;
• managing their groups and ministries;
• controlling access to Organization content; and
• ensuring that their use of Cántico complies with applicable law and organizational policies.

You may not share administrator credentials with unauthorized individuals.

You are responsible for activity performed through your account unless the activity resulted from a security failure attributable to Cántico.

You must notify Cántico promptly if you reasonably believe that your account has been compromised.

5. Inviting Members

Organization administrators may invite singers, cantors, musicians, volunteers, staff, clergy, teachers, students, or other participants to Cántico.

By adding or inviting another individual, you represent that you have a legitimate organizational reason to do so.

You may not use Cántico to:

• create deceptive accounts;
• impersonate another person;
• collect information for unrelated commercial purposes;
• spam individuals;
• harass individuals; or
• create unauthorized profiles for people with whom your Organization has no legitimate relationship.

6. Minors

Cántico may be used by organizations whose choirs, schools, ministries, or musical groups include minors.

Organization administrators are responsible for complying with applicable laws and organizational policies regarding minors.

Children Under 13

A child under the age of 13 may not independently create a Cántico account or provide personal information directly to Cántico unless an authorized process specifically designed for children is made available by Cántico and all legally required consent has been obtained.

Where legally required, a parent, legal guardian, school, parish, or other properly authorized party must provide appropriate authorization before personal information relating to a child under 13 is collected or processed.

Organization administrators must not intentionally circumvent these protections.

Yanoma LLC may suspend or remove an account if it reasonably believes that required authorization for a child's account has not been obtained.

7. User Content

"User Content" includes information or materials uploaded, entered, recorded, created, transmitted, or stored through Cántico by a User or Organization.

User Content may include:

• names and profile information;
• choir rosters;
• schedules;
• events;
• messages;
• repertoire information;
• lyrics;
• sheet music;
• musical scores;
• PDFs;
• images;
• arrangements;
• recordings;
• practice recordings;
• audio files;
• annotations;
• notes;
• translations;
• documents;
• communications; and
• other materials.

7.1 Ownership of User Content

Yanoma LLC does not obtain ownership of your User Content simply because you upload it to Cántico.

You retain any rights you lawfully possess in your User Content.

You grant Yanoma LLC a limited, non-exclusive license to host, store, copy, process, transform, transmit, display, analyze, and otherwise use User Content only as reasonably necessary to operate, secure, maintain, support, and improve the Cántico services provided to you, subject to this Agreement and our Privacy Policy.

8. Music, Copyright, and Licensing

Cántico is a technology platform. It is not a music licensing agency and does not automatically provide Users with licenses to reproduce, distribute, arrange, publicly perform, display, record, transmit, or otherwise exploit copyrighted works.

You are responsible for ensuring that you have any permissions, licenses, exemptions, or other legal rights required for the materials you upload or use.

By uploading material to Cántico, you represent that:

• you own the material; or
• you have permission or a valid license to use it; or
• your use is otherwise permitted by applicable law.

You may not knowingly use Cántico to distribute infringing copies of copyrighted materials.

AI and Copyrighted Music

Processing a work through Cántico's transcription, optical-recognition, audio-analysis, AI, or other automated features does not create a new license to the underlying work.

For example, converting a copyrighted PDF into editable notation does not by itself grant permission to reproduce, distribute, arrange, or publicly perform that composition.

Users remain responsible for the lawful use of the underlying musical work.

9. AI-Generated and AI-Assisted Content

Cántico does not claim ownership of User Content merely because it has been processed through an AI-powered feature.

As between Yanoma LLC and the User, Cántico will not claim exclusive ownership over AI-generated output produced specifically from that User's lawful input merely because Cántico's technology generated or assisted with the output.

However:

• similar output may be generated for other Users;
• AI output may not qualify for copyright or other intellectual-property protection;
• output may contain similarities to existing material; and
• Yanoma LLC does not guarantee that AI output is free from third-party rights.

Users should independently evaluate AI-generated material before publishing, distributing, selling, recording, or otherwise commercially exploiting it.

10. Privacy and Personal Information

Cántico may process personal information necessary to provide the Platform, including information associated with accounts, organizations, members, communications, events, practice activity, and Platform usage.

Our collection, use, retention, disclosure, and protection of personal information is further described in the Cántico Privacy Policy, which is incorporated into this Agreement by reference.

Cántico may use infrastructure providers, cloud-service providers, communications providers, analytics providers, payment processors, AI service providers, and other subprocessors where reasonably necessary to operate the Platform.

Yanoma LLC will not treat an Organization's private User Content as publicly available merely because it is stored within Cántico.

11. Use of Data for AI and Product Improvement

Cántico may analyze Platform activity and technical information to:

• maintain the service;
• identify errors;
• prevent fraud and abuse;
• improve performance;
• understand feature usage;
• develop new features; and
• improve Cántico's systems.

Where possible and appropriate, Yanoma LLC may use aggregated, anonymized, or de-identified information for analytics and product development.

Private User Content will not be represented as public content merely for AI development purposes.

Any material changes to how private User Content is used for machine-learning or general-purpose AI training must be disclosed in accordance with applicable law and the Cántico Privacy Policy.

12. Communications

Cántico may send Users operational communications relating to:

• accounts;
• invitations;
• events;
• rehearsals;
• RSVP requests;
• password or security matters;
• service announcements;
• billing;
• support requests; and
• other Platform activity.

Organizations may also use Cántico to communicate with their members.

Users are responsible for using messaging capabilities appropriately and complying with applicable anti-spam, privacy, and communications laws.

Marketing communications will be handled separately where required by law and may include mechanisms for opting out.

13. Acceptable Use

You agree not to use Cántico to:

• violate applicable law;
• infringe intellectual-property rights;
• distribute malware or malicious code;
• attempt unauthorized access to Cántico systems;
• bypass security or access controls;
• scrape or extract Platform data without authorization;
• interfere with Platform operation;
• impersonate another person;
• harass or threaten another person;
• distribute unlawful content;
• exploit minors;
• upload material you have no right to use;
• intentionally provide malicious content to AI systems;
• reverse engineer restricted portions of the Platform except where such restriction is prohibited by law;
• use automated systems to overload or disrupt Cántico; or
• use Cántico in a manner reasonably likely to harm Yanoma LLC, another User, or the Platform.

14. Subscription Plans and Payments

Certain Cántico features may require a paid subscription.

The applicable:

• subscription price;
• billing period;
• included features;
• trial period, if any;
• renewal terms; and
• applicable taxes

will be disclosed before purchase.

Unless otherwise stated at checkout, subscriptions continue for the selected billing period until canceled.

Users may cancel their subscription through the methods provided by Cántico. Unless required otherwise by law or expressly stated during purchase, cancellation normally takes effect at the end of the current paid billing period.

Cancellation prevents future renewal but does not automatically entitle the User to a refund for a billing period already purchased.

Cántico may change pricing for future billing periods after providing reasonable notice where required.

15. Free Trials, Beta Features, and Experimental Technology

Cántico may make certain features available as:

• beta;
• preview;
• experimental;
• early access;
• free trial; or
• evaluation features.

These features may be incomplete, modified frequently, or discontinued.

Experimental AI, audio, notation-recognition, transcription, or similar features should not be treated as guaranteed replacements for professional musical review.

16. Third-Party Services

Cántico may integrate with or depend upon third-party services, including cloud infrastructure, authentication providers, communications platforms, payment processors, analytics providers, email providers, storage providers, and artificial-intelligence services.

Yanoma LLC is not responsible for outages, changes, restrictions, or failures caused solely by third-party services outside Yanoma LLC's reasonable control.

Use of certain integrations may also be subject to the third party's terms.

17. Platform Availability

We work to make Cántico reliable, but no online service can guarantee uninterrupted availability.

Maintenance, software updates, internet failures, infrastructure failures, security incidents, third-party outages, or circumstances beyond our reasonable control may temporarily affect access.

Cántico may modify the Platform when reasonably necessary to:

• improve functionality;
• maintain security;
• comply with law;
• address technical issues;
• introduce new functionality; or
• retire obsolete functionality.

18. Security

Yanoma LLC will use commercially reasonable administrative, technical, and organizational measures designed to protect Cántico and the information entrusted to it.

However, no Internet-based service or storage system can guarantee absolute security.

Users must also take reasonable measures to protect their accounts, including maintaining appropriate passwords and access controls.

19. Intellectual Property of Cántico

Except for User Content and third-party materials, the Cántico Platform and its underlying intellectual property belong to Yanoma LLC or its licensors.

This includes, where applicable:

• the Cántico name and branding;
• software;
• source code;
• interfaces;
• workflows;
• databases;
• algorithms;
• design systems;
• graphics;
• documentation;
• proprietary processes;
• product architecture; and
• other Platform technology.

Your subscription gives you a limited right to use the Platform. It does not transfer ownership of Cántico's underlying technology.

20. Feedback

If you voluntarily provide suggestions, ideas, feature requests, bug reports, or other feedback concerning Cántico, you grant Yanoma LLC permission to use that feedback without restriction or compensation.

This does not transfer ownership of your unrelated User Content.

21. Suspension and Termination

Yanoma LLC may suspend or terminate access where reasonably necessary because of:

• violation of this Agreement;
• fraudulent or unlawful activity;
• security threats;
• infringement;
• abuse of the Platform;
• nonpayment;
• repeated misuse;
• risk to other Users or the Platform; or
• legal requirements.

Where reasonably possible, Cántico may provide notice and an opportunity to correct a violation before permanent termination.

Users may stop using Cántico at any time and may cancel paid subscriptions according to the applicable subscription terms.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CÁNTICO IS PROVIDED “AS IS” AND “AS AVAILABLE.”

YANOMA LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR PERFECTLY ACCURATE.

IN PARTICULAR, YANOMA LLC DOES NOT GUARANTEE THE ACCURACY OF:

• ARTIFICIAL-INTELLIGENCE OUTPUT;
• MUSICAL TRANSCRIPTIONS;
• OPTICAL MUSIC RECOGNITION;
• AUDIO ANALYSIS;
• MUSIC RECOMMENDATIONS;
• GENERATED CONTENT;
• AUTOMATED SCHEDULING;
• ANALYTICS; OR
• THIRD-PARTY CONTENT.

USERS REMAIN RESPONSIBLE FOR HUMAN REVIEW AND FINAL DECISIONS.

Nothing in this Agreement excludes warranties or rights that cannot lawfully be excluded.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YANOMA LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO CÁNTICO.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOST OPPORTUNITIES, INTERRUPTION OF MINISTRY ACTIVITIES, OR RELIANCE ON INCORRECT AI OR AUTOMATED OUTPUT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YANOMA LLC'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF: (A) the amount paid by you to Yanoma LLC for Cántico during the twelve (12) months immediately preceding the event giving rise to the claim; or (B) one hundred U.S. dollars (US $100).

These limitations do not apply where applicable law prohibits such limitation.

24. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Yanoma LLC and its owners, officers, employees, contractors, and affiliates from third-party claims arising from:

• User Content you provide;
• your unlawful use of Cántico;
• your violation of another person's intellectual-property rights;
• your violation of this Agreement; or
• your unauthorized use or distribution of copyrighted music.

This section does not require you to indemnify Yanoma LLC for claims caused solely by Yanoma LLC's own unlawful conduct.

25. Governing Law

This Agreement will be governed by the laws of the State of Oregon, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute that is not resolved informally and is permitted to proceed in court will be brought before a court of competent jurisdiction in Oregon, unless applicable law gives the User a non-waivable right to bring the matter elsewhere.

Before filing a legal action, the parties agree to make a reasonable good-faith effort to resolve the dispute informally.

26. Electronic Agreement

You agree that this Agreement may be entered into electronically.

Your affirmative action indicating acceptance — including checking an acceptance box or selecting an “Accept,” “I Agree,” “Create Account,” “Accept & Continue,” or similar button — constitutes your electronic acceptance of this Agreement.

You agree that electronic records relating to your acceptance may be retained as evidence of the Agreement.

27. Changes to These Terms

Cántico may update this Agreement as the Platform, applicable law, or our business evolves.

If a change materially affects your rights or obligations, Yanoma LLC will provide reasonable notice through the Platform, email, or another appropriate method.

Where required by law, we will request renewed consent before the updated terms take effect.

The effective date displayed at the beginning of this Agreement identifies the current version.

28. Entire Agreement

This Agreement, together with the Cántico Privacy Policy and any additional terms expressly presented for a specific subscription or feature, constitutes the agreement between you and Yanoma LLC concerning your use of Cántico.

If a provision of this Agreement is determined to be unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Failure to enforce a provision does not waive the right to enforce it later.
